Notice of Respect’s Annual General Meeting

Respect is delighted to invite you to our AGM which will be held straight after our Working with the Cause of the Problem Network event in the hope that as many members as possible will be able to attend.  This is your chance to find out more about – and have a say in – Respect’s work.  We do hope you’ll join us.  The AGM is an open meeting, and anyone interested in Respect’s work is very welcome to attend.  Only Respect members present at the AGM are entitled to vote.  If you are not a member, you are very welcome to join up now or on the day if you would like to be able to participate in the voting process and benefit from becoming a Respect member.[1]

Right before the AGM we are celebrating the 10 year anniversary of the Respect Phoneline.  Please join us at 4.15pm to celebrate with some cake!

Business of the AGM

 

As per Respect’s Articles of Association (21.2) the business of the AGM will include:

  • Consideration of accounts and balance sheets
  • Reports of the Trustees and auditors
  • Election of Trustees
  • Appointment of auditors   and
  • Consideration of a special resolution to revise the Articles of Association (36.3) as follows:

36.1.1   Not fewer than five and no more than twelve persons elected by members of the Charity, four of whom will be officers

To be replaced with:

36.1.1  Not fewer than five and no more than sixteen persons elected by members of the Charity, four of whom will be officers

Proxy voting

Respect members unable to attend the meeting in person can apply for a proxy vote (1 vote per member organisation).  To apply for a proxy vote please email [email protected] by 12 noon on 8th October 2014 at the latest.  Proxy votes must be returned by 4:30pm on 15th October 2014, in accordance with the Articles of Association (27).
